Audimatiq Consulting Inc. is an independent consulting (advisory) and technology firm that supports Chartered Professional Accountant / Certified Public Accountant (CPA) firms and Chartered Accountant (CA) firms in advancing their assurance quality and risk management practices. Our services are intentionally and exclusively designed for use by professional accounting firms, and not for the general public, corporate entities, or audit /report users.
We are committed to operating with transparency, integrity, and full alignment with the professional codes of conduct that govern our industry.
1. Ownership & License
All training materials, toolkits, resources, and related content (collectively, "Materials") are the intellectual property of Audimatiq Consulting Inc. ("Audimatiq"), unless otherwise noted. These Materials are made available at no charge under a limited, non-exclusive, non-transferable, revocable license for personal and internal learning and development purposes only.
This license does not convey any ownership rights. Audimatiq reserves all rights not expressly granted herein.
2. Permitted Use
Recipients may access, download, and use these Materials solely for their own internal educational and professional development purposes. Recipient firms may share these Materials with their own personnel for the same internal purposes, provided that the Materials are kept intact and unmodified.
3. Restrictions
The following uses are strictly prohibited without the prior written consent of Audimatiq:
• Copying, reproducing, or distributing the Materials externally or commercially
• Modifying, adapting, translating, or creating derivative works based on the Materials
• Reselling, sublicensing, or otherwise transferring the Materials to any third party
• Using the Materials in connection with services offered to clients without a separate written agreement with Audimatiq
Any third-party content referenced within these Materials remains the intellectual property of its respective owner and is used solely under applicable permissions or fair-use guidelines.
4. Confidentiality
Notwithstanding that these Materials are made freely available, recipients agree to treat the Materials as confidential and proprietary to Audimatiq. Recipients shall not disclose the Materials to unauthorized third parties or use them in a manner that competes with Audimatiq's business interests.
5. Termination
This license is effective upon download or access of the Materials and remains in force until terminated. Audimatiq may revoke this license immediately and without notice if a recipient breaches any of these Terms of Use. Upon termination, the recipient must cease all use of the Materials and destroy any copies in their possession.
6. Educational Disclaimer
These Materials are provided for educational and general informational purposes only. They are not a substitute for professional judgment, engagement-specific consultation, or legal, regulatory, or accounting advice. Nothing in these Materials constitutes professional advice or establishes a professional relationship between Audimatiq and the recipient.
7. Jurisdiction & Standards Applicability
The concepts, examples, and frameworks included within these Materials draw from globally recognized quality management and professional standards, including ISA, IFRS, US GAAP, AU-C (AICPA), PCAOB AS, ISQM 1 (IAASB), SQMS 1 (AICPA), CSQM 1 (CPA Canada), and PCAOB QC 1000.
Firms are solely responsible for assessing the applicability of these Materials to their jurisdictions and for ensuring their use complies with all local laws, regulations, and applicable professional standards. Audimatiq makes no representation that the content is current, complete, or appropriate for any specific jurisdiction or engagement context.
8. No Warranty
These Materials are provided "as-is" without any representation or warranty, express or implied, including but not limited to warranties of accuracy, completeness, timeliness, or fitness for a particular purpose. Audimatiq makes no guarantee that the Materials are free from errors or that they reflect the most current developments in applicable standards or regulations.
9. Limitation of Liability
To the fullest extent permitted by applicable law, Audimatiq shall not be liable for any direct, indirect, incidental, consequential, special, or exemplary damages, claims, or losses arising from or in connection with the use of, reliance on, or inability to use these Materials, even if Audimatiq has been advised of the possibility of such damages.
In no event shall Audimatiq's total liability to any party exceed the amount paid by that party for access to these Materials. As these Materials are provided free of charge, Audimatiq's liability is limited to the greatest extent permitted by law.
10. Governing Law
These Terms of Use are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms of Use shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.
